Terms of Service

These terms govern use of the Mankuca platform and the Partner (Agent) Program. By creating an account, subscribing to modules, or enrolling as a partner, you agree to this agreement.

2. Platform Use & Service Level

Mankuca provides a multi-tenant business operating system with modular subscriptions. We target 99.9% uptime and provide support through our standard channels during business hours.

  • You must use the Platform in compliance with applicable laws in your jurisdiction.
  • You may not attempt to breach tenant isolation, access unauthorized data, or interfere with Platform security.
  • Account credentials must be kept confidential. You are responsible for activity under your account.
  • We may update features, modules, and pricing with reasonable notice where required.

3. Subscriptions, Fees & Billing

Paid modules and subscriptions are billed according to the pricing displayed in the Platform at the time of purchase or renewal.

  • In-platform payments only: All subscription fees, module activations, renewals, and upgrades must be paid through the Mankuca application using approved payment methods integrated with the Platform.
  • Fees are generally billed in advance for the selected billing cycle (monthly, quarterly, or yearly) unless otherwise stated.
  • Failed or reversed payments may result in suspension of modules or workspace access until the account is brought current.
  • Refunds, where applicable, are handled according to our refund policy and only for qualifying transactions recorded in the Platform.
  • We may revise published pricing with advance notice. Continued use after the effective date constitutes acceptance of updated fees.

4. Partner Program Agreement

Applies to all registered partners, agents, resellers, and referral participants.

The Mankuca Partner Program allows approved participants to refer businesses, onboard tenants, and โ€” where enabled โ€” resell platform modules with approved markup. Participation is subject to application review, ongoing compliance, and tier-based limits configured in the Partner Portal.

Eligibility

  • Valid partner account with verified contact details
  • Admin approval before payouts are released
  • Compliance with local business and tax laws

Commercial models

  • Referral: commission on platform payments
  • Markup / Reseller: approved margin on module pricing
  • Hybrid: combination as assigned by Mankuca

Mankuca assigns your commercial model, commission rate, partner tier, territory (if any), and markup limits at its discretion. These may be updated with notice. Continued participation after notice constitutes acceptance.

5. Partner Payment Rules (Mandatory)

This section is critical for commission eligibility and reseller compliance.

All subscription payments for Mankuca modules โ€” including initial purchases, renewals, upgrades, and add-ons for clients in your network โ€” must be completed through the Mankuca application.

  • 1 No off-platform billing: Partners may not collect subscription fees via cash, personal bank transfer, mobile money to a partner wallet, or any method outside the Platform for Mankuca module subscriptions.
  • 2 Client accounts must pay in-app: Referred or onboarded tenants must use the billing and checkout flows built into Mankuca. Manual activation without a recorded payment does not qualify for partner earnings.
  • 3 Reseller markups are platform-settled: Where markup pricing is enabled, your resale price is configured inside the Partner Portal. The margin is calculated from payments processed through Mankuca โ€” not from separate invoices you issue to clients for platform access.
  • 4 Consulting fees are separate: You may charge clients separately for your own implementation, training, or advisory services, provided those fees are clearly distinct from Mankuca subscription charges and do not substitute for in-app module payments.
  • 5 Circumvention prohibited: Structuring arrangements to avoid Platform billing (including split payments, false trials, or backdated activations) may result in forfeiture of earnings and immediate termination of partner status.

Mankuca maintains the authoritative record of payments, subscriptions, and partner attribution. Only transactions recorded and settled in the Platform are eligible for commissions, markup earnings, and payout processing.

6. Commissions, Referrals & Reseller Markup

Partner earnings depend on your assigned commercial model and are calculated only from qualifying, paid, in-platform transactions.

Qualifies for earnings

  • Successful paid module subscriptions via Mankuca
  • Renewals and upgrades with cleared payment
  • Approved markup within tier limits (resellers)
  • Proper referral attribution or partner assignment

Does not qualify

  • Free trials without conversion to paid
  • Cancelled, refunded, or chargeback transactions
  • Off-platform or manual payments
  • Self-referrals or fraudulent signups

Referral commissions are calculated as a percentage (or fixed amount, if configured) of eligible subscription payments attributed to your referral code or partner assignment. Rates and duration (including recurring commission windows) are set in your partner profile.

Reseller markup allows you to set prices above the platform base rate within margin rules for your tier. Markup amounts that require approval will not accrue until approved. Tenant-specific overrides must comply with the same in-platform payment rules.

Earnings may enter a pending or clearance period before becoming available for payout. Reversals (refunds, disputes, failed payments) may generate offsetting entries against future payouts.

7. Payouts & Settlements

  • Partner accounts start in a review state. Payouts are released only after admin approval and completion of required profile and payment details in the Partner Portal.
  • Verified commissions and cleared markup balances are processed on a periodic settlement schedule (typically monthly) via the payment method on file.
  • Minimum payout thresholds and processing fees, if any, will be communicated in the Partner Portal.
  • Mankuca may withhold or claw back payouts for suspected fraud, spam referrals, chargebacks, Terms violations, or off-platform payment arrangements.
  • You are responsible for all taxes, levies, and reporting obligations on income received through the Partner Program.
  • Payout records in the Partner Portal constitute the official statement of earnings for the period.

8. Partner Conduct & Marketing

Partners must represent Mankuca accurately and professionally. You agree not to:

  • Make false or misleading claims about features, pricing, uptime, or certifications.
  • Send unsolicited bulk messages (spam) or use deceptive advertising to generate referrals.
  • Register dummy tenants, manipulate attribution, or create duplicate accounts to inflate earnings.
  • Use Mankuca trademarks or branding outside approved marketing materials without permission.
  • Request clients pay subscription fees to you instead of through the Platform.
  • Share login credentials or operate client workspaces in violation of client agreements or data protection laws.

Approved marketing assets are available in the Partner Portal. Custom campaigns must not contradict these Terms or published product information.

9. Termination, Liability & Changes

We may suspend or terminate your Platform or partner access immediately for breach of these Terms, fraudulent activity, or conduct harmful to Mankuca or its customers. Upon termination, pending earnings may be forfeited if termination is for cause.

The Platform and its content remain the intellectual property of Mankuca Ltd and its licensors. To the maximum extent permitted by law, Mankuca is not liable for indirect, incidental, or consequential damages arising from use of the Service or Partner Program.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Platform or Partner Portal after changes take effect constitutes acceptance.
